such breach or any subsequent breaches. This Agreement shall be governed by and

construed under Arizona law without regard to conflicts of law provisions. Any action or

proceeding arising out of or related to this Agreement or your use of this Site must be

brought in the state or federal courts of Arizona and you consent to the exclusive personal

jurisdiction of such courts.
